Conditions générales de vente – Triggers Reports

1. Objet

Les présentes conditions générales de vente ont pour objet de définir les modalités de fourniture des services de la plateforme Triggers Reports, éditée par Trigger's Reports LTD, société de droit mauricien dont le siège social est sis 6th Floor | The Docks 4 | United Docks Business Park | Caudan | Port Louis 11306 | Mauritius, ci-après « le Prestataire », à tout Client professionnel, ci-après « le Client ».

2. Services proposés

Le Prestataire fournit notamment :

• Analyse et visualisation de données satellites,
• Accès à des indices environnementaux (NDVI, NDWI, NDMI, etc.),
• Génération automatique de rapports environnementaux, agricoles, climatiques ou de sécurité,
• Alertes automatisées via géofencing,
• Intégration de données externes via API ou connecteurs OGC,
• Accompagnement analytique sur mesure.

3. Commandes et accès

3.1. L'accès aux services est conditionné par la validation d'un devis ou d'un contrat de service.

3.2. Le Client bénéficie d'un accès utilisateur sécurisé, personnel et non transférable.

3.3. Le Client s'engage à utiliser les services uniquement à des fins professionnelles internes.

4. Durée et résiliation

4.1. Sauf accord spécifique, les services sont proposés sur une durée ferme de 12 mois renouvelables par tacite reconduction.

4.2. Résiliation possible avec un préavis de 30 jours par courrier recommandé.

4.3. Toute violation substantielle (non-paiement, usage abusif, non-respect des engagements) pourra entraîner une suspension immédiate des services.

5. Tarifs et conditions de paiement

5.1. Les prix sont indiqués en euros hors taxes (HT) et précisés dans chaque proposition commerciale.

5.2. Le paiement est dû à réception de facture, sauf délai convenu par écrit.

5.3. Tout retard entraîne des pénalités de 10 % du montant TTC par mois de retard, ainsi qu'une indemnité forfaitaire de 40 € pour frais de recouvrement.

6. Propriété intellectuelle

6.1. Le Prestataire reste propriétaire exclusif de la plateforme, de son contenu, des traitements algorithmiques et des rapports générés.

6.2. Le Client bénéficie d'un droit d'usage non exclusif, limité à ses besoins internes.

7. Clause de non-concurrence

Le Client s'engage, pendant la durée du contrat et durant une période de 12 mois suivant son expiration, à ne pas développer, promouvoir ou commercialiser directement ou indirectement une solution concurrente aux services de Triggers Reports, sans accord écrit préalable du Prestataire.

8. SLA – Niveau de service

8.1. Taux de disponibilité garanti : 98 % par mois (hors maintenance planifiée et cas de force majeure).

8.2. Traitement des anomalies critiques sous 24h ouvrées maximum.

8.3. Support technique par email disponible du lundi au vendredi de 9h à 17h (UTC+4).

9. Confidentialité et RGPD renforcé

9.1. Les données du Client sont traitées de manière confidentielle et ne sont jamais partagées sans consentement écrit.

9.2. Hébergement souverain : aucune donnée n'est stockée sur des clouds soumis aux juridictions extraterritoriales (ex : CLOUD Act).

9.3. Conformité renforcée au RGPD : droit d'accès, de rectification, d'effacement, portabilité, notification des failles dans un délai de 72h.

10. Responsabilité

10.1. Le Prestataire est tenu à une obligation de moyens dans l'exécution des services.

10.2. En aucun cas la responsabilité globale du Prestataire ne pourra excéder le montant payé par le Client sur les 12 derniers mois.

11. Force majeure

Le Prestataire ne saurait être tenu responsable en cas d'événement de force majeure empêchant l'exécution normale de ses obligations (panne satellite, guerre, catastrophe naturelle, cyberattaque, etc.).

12. Droit applicable et juridiction compétente

Les présentes conditions générales de vente sont régies par le droit de la République de Maurice.

Tout litige relatif à leur interprétation ou exécution relèvera de la juridiction exclusive des tribunaux compétents de Port-Louis, Île Maurice.

General terms and conditions of sale – Triggers Reports

1. Purpose

These general terms and conditions of sale aim to define the terms for providing the services of the Triggers Reports platform, published by Trigger's Reports LTD, a company incorporated under Mauritian law with its registered office at 6th Floor | The Docks 4 | United Docks Business Park | Caudan | Port Louis 11306 | Mauritius, hereinafter referred to as “the Provider,” to any professional Client, hereinafter referred to as “the Client.”

2. Services offered

The Provider notably provides:

• Analysis and visualization of satellite data,
• Access to environmental indices (NDVI, NDWI, NDMI, etc.),
• Automatic generation of environmental, agricultural, climate, or security reports,
• Automated alerts via geofencing,
• Integration of external data via API or OGC connectors,
• Tailored analytical support.

3. Orders and access

3.1. Access to services is subject to the validation of a quotation or a service contract.

3.2. The Client benefits from secure, personal, and non-transferable user access.

3.3. The Client undertakes to use the services solely for internal professional purposes.

4. Duration and termination

4.1. Unless otherwise agreed, services are provided for a fixed term of 12 months, automatically renewable by tacit renewal.

4.2. Termination is possible with 30 days’ notice by registered letter.

4.3. Any substantial breach (non-payment, misuse, failure to comply with obligations) may result in immediate suspension of services.

5. Pricing and payment terms

5.1. Prices are indicated in euros excluding taxes (excl. VAT) and specified in each commercial proposal.

5.2. Payment is due upon receipt of invoice, unless otherwise agreed in writing.

5.3. Any delay will incur penalties of 10% of the total amount including taxes per month of delay, as well as a fixed indemnity of €40 for recovery costs.

6. Intellectual property

6.1. The Provider remains the exclusive owner of the platform, its content, algorithmic processing, and generated reports.

6.2. The Client is granted a non-exclusive right of use, limited to its internal needs.

7. Non-compete clause

The Client undertakes, during the term of the contract and for a period of 12 months following its expiration, not to develop, promote, or commercialize, directly or indirectly, a solution competing with the services of Triggers Reports, without the prior written consent of the Provider.

8. SLA – Service level

8.1. Guaranteed availability rate: 98% per month (excluding scheduled maintenance and force majeure events).

8.2. Critical incidents handled within a maximum of 24 business hours.

8.3. Technical support by email available Monday to Friday from 9 a.m. to 5 p.m. (UTC+4).

9. Confidentiality and enhanced GDPR compliance

9.1. Client data is processed confidentially and is never shared without written consent.

9.2. Sovereign hosting: no data is stored on cloud services subject to extraterritorial jurisdictions (e.g., CLOUD Act).

9.3. Enhanced GDPR compliance: right of access, rectification, erasure, portability, and breach notification within 72 hours.

10. Liability

10.1. The Provider is bound by an obligation of means in the performance of the services.

10.2. In no event shall the Provider’s total liability exceed the amount paid by the Client over the last 12 months.

11. Force majeure

The Provider shall not be held liable in the event of force majeure preventing the normal performance of its obligations (satellite failure, war, natural disaster, cyberattack, etc.).

12. Applicable law and jurisdiction

These general terms and conditions of sale are governed by the laws of the Republic of Mauritius.

Any dispute relating to their interpretation or execution shall fall under the exclusive jurisdiction of the competent courts of Port Louis, Mauritius.
